Motence Terms of Service
Effective Date: 11 June 2026 Last Updated: 9 August 2026 Version: 1.9
Service Operator: Swiftliner Technologies Limited (RC 9571507) Lagos, Nigeria support@motence.com
#1. Acceptance of Terms
By downloading, installing, registering for, or using the Motence platform (mobile app, web portal, or any associated API), you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree, do not use Motence.
These Terms constitute a binding agreement between you ("User") and Swiftliner Technologies Limited ("Motence", "we", "us", "our").
#2. Eligibility
To use Motence for a standard adult wallet you must:
- Be at least 18 years of age
- Be a resident of, or using the service within, the Federal Republic of Nigeria
- Provide true, accurate, and complete registration information
- Not be on any regulatory watchlist or sanctions list applicable under Nigerian law
Guardian-controlled minor accounts (Tier 9): Users under 18 may use Motence only through a linked guardian who has verified BVN and NIN (Policy Tier 2 adult). The minor account is funded exclusively by the guardian and limited to transport fare payments. See Section 6.4.
By registering, you confirm all of the above. We reserve the right to request proof of identity at any time.
#3. Account Registration and Security
#3.1 Registration
You are responsible for:
- Providing accurate information at registration (name, email, phone number)
- Keeping your login credentials (password, PIN, Transfer PIN) confidential
- Not sharing your account with any other person
- Notifying us immediately at support@motence.com if you suspect unauthorised access
#3.2 Account Suspension and Termination
We may suspend or terminate your account if:
- You violate any provision of these Terms
- We detect actual or suspected fraudulent activity
- You provide false or misleading information
- A regulatory authority requires us to do so
- Your account is inactive for an extended period
You may request voluntary account deletion at any time via Profile → Delete Account in the app or via our account deletion page. Pending transactions and regulatory retention obligations (see our Privacy Policy) apply after deletion.
#4. Travel Credit and Transport Payments
#4.1 Adding Travel Credit
Eligible adults may add Travel Credit through the payment methods shown in the Motence app, including Paystack-supported card or bank-payment flows where available. Paystack processes the payment rail; Motence records the resulting Travel Credit and transport-fare activity in its internal ledger. Motence does not store raw card details.
Travel Credit is not a general-purpose send-money service. It may be used to pay a verified, active Motence transport fare. Eligible adults may also request Withdraw to bank for unused available balance through the approved withdrawal flow, subject to identity checks, configured limits, fraud controls, and the approved bank account. Motence does not offer contact-to-contact transfers, personal receive codes, or arbitrary recipient payments.
Dedicated Virtual Account funding, where offered, is subject to eligibility, Paystack configuration, and the terms shown in the app. A virtual account is a collection method; it does not create a general-purpose payment account.
Minimum and maximum funding amounts are configurable by Motence and displayed in-app before checkout.
#4.2 Platform Fees
Motence charges a platform fee on applicable transactions. The applicable fee is always displayed to you before you confirm the transaction. By confirming, you agree to the fee.
Platform fees are non-refundable once a transaction is confirmed, except in the cases described in Section 5 (Disputes and Refunds).
Fees are configurable and may vary by transaction type, institution, and pricing tier. Where a fee changes, the new fee is displayed before your next confirmation.
#4.3 Value Added Tax (VAT)
VAT applies to our fee only — never to your fare or Travel Credit.
Where Motence is required to charge VAT, it is calculated on the Motence service fee alone. VAT is never calculated on the amount you fund, withdraw, or pay as a fare.
- Rate and jurisdiction. In Nigeria the rate is 7.5% under the Nigeria Tax Act 2025 (in force from 1 January 2026). Users transacting under another jurisdiction are charged that jurisdiction's rate, shown on the receipt.
- Fees are quoted exclusive of VAT. Where VAT applies it is added to the fee and shown as its own line on the confirmation screen and the receipt, together with the rate and the jurisdiction applied.
- Worked example. On a ₦1,000 transaction with a 2.5% fee: fee ₦25.00, VAT ₦1.88, total charge ₦26.88.
- If VAT does not apply to your transaction or in your jurisdiction, the VAT line reads ₦0.00 and nothing is added.
We will notify you in advance of any change to whether or at what rate VAT is charged.
#4.4 Transport Fares Are VAT-Exempt
We do not charge VAT on your fare. Shared passenger road transport supplied on a non-charter basis is an exempt supply under the Nigeria Tax Act 2025. The fare you pay for a campus shuttle, estate bus, or other shared transport service carries no VAT.
The transport service is supplied to you by the institution, operator, or vehicle owner — not by Motence. What Motence supplies is the payment, software, and collection service that sits behind it, and only that service attracts VAT. Where VAT is charged on the Motence fee for a fare payment, that fee and its VAT are borne by the institution or vehicle owner out of settlement proceeds, not added to your fare.
Chartered or exclusive-hire journeys are not exempt supplies. Where Motence supports such journeys, applicable VAT is shown before you confirm.
#4.5 Stamp Duty
Motence does not offer wallet-to-wallet or peer-to-peer payments in the transport product.
Your bank or payment provider may apply stamp duty, electronic transfer levies, or its own charges when you fund your wallet from a bank or card, or when you withdraw to a bank account. Those charges are levied by that institution under its own terms — they are not Motence charges, and Motence does not receive them.
If a change in law or in our licensing arrangements requires Motence to collect a duty or levy directly, we will notify you in advance, show it as a separate line distinct from our fee, and hold it for remittance to the relevant authority rather than treat it as our revenue.
#4.6 Payment Finality
Once a payment is confirmed on the Motence platform, it is final and irrevocable except in the cases described in Section 5. You cannot reverse a confirmed transaction unilaterally.
#4.7 Fare Payments (Institutional Transport)
Motence enables cashless fare payments within institutional transport spaces (each, a "Space", such as a university campus or corporate estate). The Space, vehicle owner, or transport operator supplies the transport service and sets the applicable fare. Motence supplies the payment and platform services that enable collection and administration.
When you pay a fare:
- The amount is deducted from your Travel Credit — no VAT is added to your fare (see Section 4.4)
- A platform fee, and VAT on that fee where applicable, is deducted from the institution's or vehicle owner's settlement proceeds before revenue is routed
- A receipt is recorded in your transaction history
Transport Inspectors and Space Administrators within your institution may view trip-level payment records for operational and settlement purposes.
#4.8 Active Fare Payments and Operator Payouts
Passengers pay a fare by scanning a Motence Fare Code or entering a fare code for a server-authorised active collection shift. The active context identifies the relevant driver, vehicle, fare configuration and, where applicable, Space or route. A permanent driver payment QR, a contact picker, and a free-form person-to-person payment are not part of Motence.
For an approved operator or driver, Motence records confirmed fares as transport earnings. Earnings may be made available for payout only after reconciliation and may be paid only to the driver's approved bank recipient through the applicable payment-provider flow. This is an operator payout for verified transport earnings, not a passenger payment to a driver's personal account.
#5. Disputes and Refunds
#5.1 When Refunds Apply
Travel Credit charges are non-refundable except:
| Scenario | Resolution | |---|---| | Duplicate charge — you were charged twice for the same transaction | Full refund of duplicate charge | | Wrong amount — amount charged differs from what was displayed | Difference refunded | | System failure — a technical error caused a deduction without completing the transaction | Full refund | | Verified fraud — transaction initiated without your authorisation | Subject to investigation and outcome |
#5.2 How to Dispute
- Open Motence → Profile → Help & Support → Create a ticket
- Include: transaction date, amount, and reason
- We acknowledge within 48 hours and resolve within 14 business days
- Valid disputes are refunded to your Motence Travel Credit or approved bank account
Disputes must be submitted within 30 days of the transaction date. We cannot investigate transactions older than 30 days.
#6. Withdrawals and KYC Tiers
#6.1 KYC Tier Model
Motence operates a progressive identity verification system aligned with CBN requirements:
| Tier (user-facing) | Requirements | Key limits (indicative) | Withdraw | |---|---|---|---| | Unverified | Phone + email registered | Conservative limits apply (see app) | Not available | | Policy Tier 1 adult | Identity verification accepted by Motence (BVN or NIN, as shown in the app) | Higher transport and withdrawal limits | Subject to eligibility | | Policy Tier 2 adult | Additional identity verification, if offered | Higher limits where configured | Subject to eligibility | | Tier 9 (Guardian minor) | Linked guardian + minor NIN | Transport-focused limits | Not available |
Policy Tier 3 (address verification) is deferred.
#6.2 BVN Verification
To seek access to adult Travel Credit and withdrawal capabilities:
- Navigate to Profile → Identity Verification
- Complete the identity-verification method requested in the app. This may include BVN or NIN, depending on the capability and risk checks being requested.
- Where BVN is used, it is sent to Motence's identity-verification provider for verification and Motence retains only a SHA-256 hash, not the raw BVN.
- Adults must be 18 or older to use adult withdrawal capabilities.
#6.3 NIN Verification
Motence may ask an adult to verify a National Identification Number (NIN) for a higher tier or particular capability. Motence stores only a SHA-256 hash of a verified NIN.
#6.4 Guardian-Controlled Minor Accounts (Tier 9)
Users under 18 may use Motence through a guardian-controlled Tier 9 account:
- The minor generates an invite code; a verified adult guardian (BVN and NIN) redeems it
- Only the linked guardian may fund the minor account
- Minors may pay transport fares only; withdrawals and general transfers are not permitted
Turning 18. Reaching your 18th birthday does not by itself change your account. We will send you a birthday message welcoming you to adulthood, but your account remains on Tier 9 — guardian funded, transport fares only, no withdrawals or transfers — and your existing guardian link stays in place.
To move to an adult tier you must complete identity verification yourself with your own credentials (BVN and/or NIN). Verification, not age, is what unlocks adult limits. This protects you from being moved to a higher-limit tier before your identity has been independently confirmed.
See the Privacy Policy for data handling on guardian consent and minor NIN verification.
#6.5 Withdrawal Processing
Eligible adult withdrawals are initiated to the approved bank account through the applicable payment-provider flow. A withdrawal is subject to the limits, fraud checks, payment-provider status and bank processing time shown in the app. We may delay, decline, reverse where a transfer fails, or hold a withdrawal where required by law or a legitimate fraud/compliance review.
#6.6 Bank Account Name Matching
Your withdrawal bank account name must match your verified legal name. Mismatches may be flagged for compliance review.
#7. User Conduct
You agree not to:
- Use Motence for any illegal purpose under Nigerian law
- Attempt to defraud, deceive, or impersonate any other user
- Engage in money laundering, structuring, or any activity that violates the Money Laundering (Prevention and Prohibition) Act 2022
- Attempt to reverse-engineer, hack, or interfere with Motence systems
- Provide false information at registration or during identity verification
- Access or use another person's account or credentials
- Harass, abuse, or threaten other users, Transport Inspectors, or Motence staff
Violations may result in immediate account suspension, reporting to relevant authorities, and legal action.
#8. Transport Inspectors and Space Administrators
If you are invited to Motence as a Transport Inspector or Space Administrator:
- You have access to operational data within your designated space (fare records, session history, passenger trip data)
- You must use this access only for legitimate operational purposes
- You are bound by these Terms in addition to any agreement with your institution
- Your access may be revoked by your Space Administrator or by Motence at any time
#8.2 Independent Drivers and Personal Run
Motence may permit an approved adult driver to operate a Personal Run using an approved vehicle and a Motence Fare Code. A driver must satisfy Motence's operating, identity, vehicle and approved-payout-recipient checks before collecting fares. Motence may pause, suspend, reject or review a Personal Run where those checks, payment reconciliation, safety controls, fraud controls, or applicable law require it.
Vehicle approval is a Motence transport-operations decision. It is not a representation that Motence, Paystack, or any payment provider has certified the vehicle, driver, insurance, roadworthiness, licence, or transport permit.
#8.1 Fees, VAT, and Settlement for Institutions
Where you operate a space, the commercial relationship is between Motence and your institution or vehicle owner:
- Your supply. Your institution supplies passenger transport to riders. Shared passenger road transport on a non-charter basis is VAT-exempt under the Nigeria Tax Act 2025. You do not charge riders VAT on the fare, and Motence does not add it.
- Our supply. Motence supplies you a payment, software, reporting, and collection service. That is a separate, taxable supply. Where VAT is chargeable it applies to the Motence fee, at the rate for the jurisdiction recorded against your space.
- Fees quoted exclusive of VAT. A quoted rate of "2.5%" means 2.5% plus VAT where VAT applies. Your tier's percentage fee, per-log fee, and any other charge are all quoted exclusive of VAT.
- How it is collected. Fees and VAT are deducted at source from settlement proceeds before net revenue is routed to your account. Your settlement statement itemises: fare collected, Motence fee, VAT on the Motence fee, and net due to you.
- Invoices. You may request a VAT invoice for Motence fees charged in any period, showing our tax identification number, invoice number and date, your details, the fee amount, the VAT rate, and the VAT amount. Where Motence becomes subject to mandatory electronic invoicing, invoices will be issued through the approved system and transmitted to the relevant tax authority.
- Your own obligations. Fares you collect, your own tax registration, filings, and any tax on your transport operations remain your responsibility. Motence does not file on your behalf.
#9. Privacy
Your use of Motence is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By accepting these Terms, you also accept our Privacy Policy.
#10. Intellectual Property
All content, trademarks, logos, and software comprising the Motence platform are owned by Swiftliner Technologies Limited. You may not copy, reproduce, or distribute any Motence content without written permission.
#11. Third-Party Services
Motence integrates with third-party providers including Paystack (payment collection and payout rails) and Prembly (identity verification). These providers may impose their own eligibility, limits, verification, monitoring and operational conditions. Their services do not make Motence a bank, escrow/trust provider, mobile-money operator, or CBN-licensed payment institution. Your use of third-party services is subject to their respective terms and privacy policies.
#12. Limitation of Liability
To the maximum extent permitted by Nigerian law:
- Motence is provided "as-is" without warranties of any kind
- We are not liable for loss of funds due to your own negligence (sharing credentials, weak PINs)
- We are not liable for failures of third-party providers (Paystack, Prembly, banks)
- We are not liable for service interruptions, downtime, or data loss not caused by our gross negligence
- Our total liability to you for any claim is limited to the platform fees you paid in the preceding 30 days
Nothing in these Terms limits liability for fraud, gross negligence, or death/personal injury caused by our negligence.
#13. Governing Law and Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from or related to these Terms will be resolved in Nigerian courts with jurisdiction in Lagos State.
Before commencing legal proceedings, you agree to notify us at support@motence.com and allow 30 days to attempt resolution in good faith.
#14. Changes to These Terms
We may update these Terms from time to time. If we make material changes:
- We will notify you via email and in-app notification before the changes take effect
- The effective date at the top of this document will be updated
- Your continued use of Motence after the effective date constitutes acceptance
If you do not agree to updated Terms, you must stop using Motence and may request account deletion.
